Consumer Cancellation Right

Subject to the provisions at clause 6, you may cancel the Services within 14 days of the Commencement Date or the date that we accept an Order (Cancellation Period). We will not commence the provision of the Services during the Cancellation Period unless you expressly request us to do so.

Please note that where you expressly ask us to commence the provision of the Services during the Cancellation Period:

● you will lose your right to cancel the Services, if the relevant Services are fully performed by us; and

● you will be liable to pay to us an amount for the relevant Services supplied up to when you inform us that you intend to cancel the Services, which will be proportionate to the full Price for the relevant Services for the whole of the Term.

Where you book an appointment through our booking platform that is scheduled to take place within the Cancellation Period, our booking platform will ask you to expressly confirm, as part of the booking process, that you request the Services to commence within the Cancellation Period, and to acknowledge that:

● if the Services are fully performed before the end of the Cancellation Period, you will lose your right to cancel the Services; and

● if you cancel part way through, you will be liable to pay an amount proportionate to the Services already provided.

We will not treat an appointment as booked for a date within the Cancellation Period unless you have provided this confirmation through the booking platform. A record of your confirmation will be retained and made available to you on request.

1. Engagement and Term

1.1 These Terms apply from the Commencement Date until the date that is the earlier of:

(a) the date set out in the booking confirmation or Order;

(b) the date the Services are completed (as reasonably determined by us);

(c) the date the Goods have been delivered to you; or

(d) the date on which these Terms are terminated,

(Term)

2. Services

2.1 In consideration of your payment of the Price, we will provide the Goods and/or Services in accordance with these Terms, whether ourselves or through our Personnel.

2.2 If these Terms express a time within which the Goods and/or Services are to be supplied, we will use reasonable endeavours to provide the Goods and/or Services by such time, but you agree that such time is an estimate only.

2.3 All variations to the Goods and/or Services must be agreed in writing between the Parties and will be priced in accordance with any schedule of rates provided by us, or otherwise as reasonably agreed between the Parties. If we consider that any instructions or directions from you constitute a variation to the scope of the Services or our obligations under these Terms, then we will not be obliged to comply with such instructions or directions unless agreed in accordance with this clause.

3. Your Obligations

3.1 You agree to (and to the extent applicable, ensure that your Personnel agree to):

(a) comply with these Terms, all applicable Laws, and our reasonable requests;

(b) provide us with all documentation, information, instructions, cooperation and access reasonably necessary to enable us to provide the Goods and/or Services, and complete any intake or consultation form required prior to a clinical appointment accurately and completely;

(c) notify us of any change in the information provided in an intake or consultation form prior to any subsequent appointment; and

(d) not (or not attempt to) disclose, or provide access to, the Goods and/or Services to third parties without our prior written consent.

4. Orders

4.1 During the Term, you may request us to supply the Goods and/or Services by booking an appointment through our nominated booking platform, placing an order through our website, or by notifying us in writing or by any other process we specify (Order Request).

4.2 If we accept the Order Request, we will issue confirmation of your Order Request and it will become a binding Order.

4.3 Each Order is subject to, and will be governed by, these Terms and any other conditions expressly set out in the Order. To the extent of any ambiguity or discrepancy between an Order and these Terms, the terms of these Terms will prevail.

5. Price and Payment

5.1 In consideration for us providing the Goods and/or Services, you agree to pay all amounts due under these Terms in accordance with the Payment Terms. Payment for Goods is due in full at the time your order is placed.

5.2 A requested appointment is not confirmed, and no appointment slot is reserved for you, until we have received the required payment in full, or the specified deposit (Payment Deadline). Payment must be received within 48 hours of booking. If payment is not received by the Payment Deadline, the requested slot remains unconfirmed and may be released and offered to another patient.

5.3 A course of treatment comprising multiple sessions may be paid by instalments, provided that the deposit set out in your invoice is paid by the Payment Deadline.

5.4 If any payment has not been made in accordance with the Payment Terms, we may (at our absolute discretion, and without prejudice to any of our rights or remedies under these Terms or at Law):

(a) after a period of 5 Business Days from the relevant due date, cease providing the Goods and/or Services, and recover, as a debt due and immediately payable from you, our reasonable additional costs of doing so (including all recovery costs); and/or

(b) charge interest at a rate equal to the Bank of England’s base rate, from time to time, plus 4% per annum, calculated daily and compounding monthly, on any such amounts unpaid after the relevant due date in accordance with the Payment Terms.

5.5 All amounts payable by you under these Terms are exclusive of amounts in respect of any taxes, including sales, use or value added tax chargeable from time to time (VAT), unless otherwise stated. Where any taxable supply for VAT purposes is made under these Terms by us to you, you agree, on receipt of a valid VAT invoice from us, to pay to us such additional amounts in respect of VAT as are chargeable on the supply of the Goods and/or Services at the same time as payment is due for the supply of the Goods and/or Services.

6. Consumer Cancellation Right

6.1 This clause 6 applies to the extent that you purchase Services from us as a “consumer”, as defined in the Consumer Rights Act 2015. You expressly agree to this information being provided in digital form, rather than on paper.

6.2 Subject to clause 6.3, you may cancel the Services within 14 days of the Commencement Date or the date that we accept an Order (Cancellation Period).

6.3 Unless you expressly request us to commence the provision of the Services during the Cancellation Period, we will not commence the provision of the Services during the Cancellation Period. Where you expressly request us to commence the provision of the Services during the Cancellation Period, you will lose your right to cancel the Services if the relevant Services are fully performed by us.

6.4 If you exercise your right to cancel the Services under this clause 6, you will be liable to pay to us an amount for the relevant Services supplied up to when you inform us that you intend to cancel the Services, which will be proportionate to the full Price for the relevant Services for the Term.

6.5 If you want to cancel the Services, you should email us using the contact details at the start of these Terms, and you may use the Model Cancellation Form below:

To Dr Nadia Abuhussein Ltd, 1st Floor, The Hadley Clinic, 64 Bridge St, Manchester M3 3BN (Email: Contact@drnadia-abuhussein.com)

I/We hereby give notice that I/We cancel my/our contract for the supply of the following services:

_______________________________________________________________________________.

Ordered on/received on: ___________________________.

Name: ___________________________. Address: _________________________________________________.

Signature: ___________________________. Date: _________________.

6.6 Subject to clause 6.3, where you have paid any part of the Price upfront and have cancelled the Services in accordance with this clause 6, we will provide you with a refund of the amount paid to us within 14 days of you telling us that you have changed your mind.

7. Cancellation and Rescheduling of Appointments; Returns of Goods

7.1 This clause applies to appointments for consultations and treatments booked through our booking platform (in addition to, and without limiting, clause 6), and to the return of Goods.

7.2 You may cancel or reschedule an appointment, free of any cancellation charge, by giving us at least 48 hours’ notice before the scheduled appointment time.

7.3 If you cancel an appointment with less than 48 hours’ notice, you will not be entitled to a refund of the appointment fee or deposit paid for that appointment.

7.4 If you fail to attend an appointment without giving us any prior notice, you will not be entitled to a refund of the appointment fee or deposit paid for that appointment.

7.5 Where we consider that exceptional circumstances apply, we may, at our discretion, agree to transfer a payment forfeited under clause 7.3 or 7.4 to another appointment, in whole or in part.

7.6 An appointment may be rescheduled a maximum of three times, provided at least 48 hours’ notice is given each time (except where clause 7.5 applies). A request to reschedule beyond this limit will be treated as a new booking

7.7 For a multi-session course of treatment, clauses 7.2 to 7.6 apply to each session, subject to clause 8.

8. Treatment Courses and Clinical Programmes

8.1 A treatment course, package or clinical programme is personal to you and may not be transferred, assigned or resold to any other person.

8.2 Where a treatment course or package is sold with a stated validity or redemption period, that period will be confirmed to you at the time of purchase. All sessions must normally be used within that period. We may, at our discretion, agree to extend the validity period in appropriate circumstances.

8.3 Purchasing a treatment course or clinical programme does not guarantee that every treatment or session originally anticipated will be clinically appropriate for you. Your treatment plan may be adjusted, added to, or reduced following clinical assessment, as treatment progresses, or in response to how you respond to treatment, as reasonably determined by us.

8.4 Once a treatment course or clinical programme has commenced, any refund due to you will take into account, and deduct, the value of all consultations, assessments, treatment planning, clinical review, administration, treatment sessions, and any other services already provided to you.

8.5 If you choose to discontinue a treatment course or clinical programme after it has commenced, we will calculate any refund due to you as follows:

(a) where sessions or elements have already been provided to you, those sessions or elements will be valued at our then-current standard individual price for that session or element, rather than a pro-rata share of any discounted course or package price, and that value will be deducted from the amount you paid; and

(b) the balance (if any) remaining after that deduction, less any amounts due under clauses 8.7 and 8.8, will be refundable to you.

8.6 We will set out this method of calculation, including the standard individual prices for each element of the course or package, at the time you purchase the course or package.

8.7 Any session that is missed in accordance with clause 7.4, or cancelled with less than 48 hours’ notice in accordance with clause 7.3, will be treated as a used session for the purposes of this clause 8 and will not be refundable, except where we agree otherwise under clause 7.5 or where you have statutory rights that cannot be excluded.

8.8 Where a treatment course or clinical programme includes laboratory tests, products, prescriptions, reports or other third-party costs that we have already ordered or incurred on your behalf, the cost of these will also be deducted from any refund due to you.

8.9 If we determine, acting reasonably and on clinical grounds, that it is no longer clinically appropriate or safe for you to continue with a treatment course or clinical programme, this is distinct from you choosing to discontinue under clause 8.5. In that case, we will calculate any refund due to you by deducting the value of services already provided under clauses 8.4 and 8.8 and any non-recoverable costs we have already incurred, but will otherwise deal with any genuinely unused element of the course or programme fairly, taking into account the circumstances.

8.10 If you repeatedly fail to attend appointments, do not engage with your treatment course or clinical programme, or do not provide information we reasonably require to deliver your care safely, we may, acting reasonably, discontinue the treatment course or clinical programme. Clause 8.9 will apply to any refund calculation in these circumstances, unless we reasonably consider your conduct to be more properly addressed under clause 8.5.

9. Deposits

9.1 We may ask you to pay one or more of the following:

(a) an appointment or consultation fee, payable to secure a single appointment;

(b) a booking deposit, payable to secure a single appointment, which is credited against the Price for that appointment; or

(c) a programme or course deposit, payable to secure a treatment course or clinical programme, which is credited against the overall Price for that course or programme.

9.2 A deposit becomes non-refundable in the circumstances set out in clauses 7.3, 7.4 and 8, as applicable, and otherwise in accordance with clause 6.

9.3 Where a deposit becomes non-refundable, we may, at our discretion under clause 7.5, agree to transfer it to another appointment or treatment course. A deposit may only be redeemed against the specific appointment, treatment or course for which it was paid, unless we agree otherwise.

9.4 A deposit must be redeemed within 60 days of payment, unless we agree to extend this period. If it is not redeemed within this time, it will be forfeited, except to the extent your statutory cancellation rights under clause 6 apply.

9.5 Nothing in this clause 9 affects your rights under clause 6 where applicable.

10. Laboratory and Functional Testing

10.1 Tests ordered through us may be processed by independent third-party laboratories. We do not control, and cannot guarantee, any turnaround time quoted for a test; any turnaround time given is an estimate only.

10.2 Where a sample you provide is insufficient, damaged, lost, or otherwise cannot be processed, the test or sample may need to be repeated. Where this is due to a cause outside our reasonable control, any additional cost of repeating the test will be payable by you.

10.3 Once we have ordered a test, dispatched a kit to you, received a submitted sample, or a laboratory has commenced processing, we will not normally be able to offer a refund, because we will have incurred a non-recoverable cost or committed the resource to you.

10.4 Where a refund is due to you in connection with a laboratory test, including under clause 6 where applicable, we will deduct any non-recoverable laboratory or third-party fee we have already incurred before determining the amount, if any, refundable to you.

11. Clinical Services and Treatment Outcomes

11.1 All medical, dermatological, functional dermatology and aesthetic Services are subject to individual clinical assessment, and our recommendations and treatment plans are based on the information you provide and our clinical judgment at the relevant time.

11.2 You are responsible for providing complete and accurate information about your medical history, medications, allergies, supplements, previous treatments, and any relevant changes to your health, including between appointments and prior to each subsequent appointment.

11.3 No particular clinical, dermatological or aesthetic outcome can be guaranteed. Individual responses to treatment vary, and any results described to you, including by reference to other patients, are illustrative only.

11.4 We may decline, modify, postpone or discontinue any treatment where we consider this clinically appropriate, including where we consider it is not safe or suitable to proceed.

11.5 Where appropriate, we may recommend that you seek assessment or treatment from your GP, another healthcare professional, or another service. We are not responsible for arranging or providing that other care.

11.6 Virtual or remote consultations are subject to the inherent limitations of remote assessment. We may require you to attend a face-to-face assessment, and may decline to provide, or may need to adjust, treatment until this has taken place.

11.7 We are not an emergency or urgent medical service, and this applies equally to our online communication channels, including email, WhatsApp and other online messaging. If you are experiencing a medical emergency or require urgent medical assessment, you should contact emergency services (999) or NHS 111, or attend your nearest A&E.

12. Goods and Online Product Sales

12.1 Where you purchase Goods online or at a distance as a consumer, you have the right to cancel your order within 14 days of delivery under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, in addition to any rights under clause 6.

12.2 Where a product is sealed for health protection or hygiene purposes, including skincare and cosmetic products with a hygiene seal, and that seal has been removed or broken following delivery, you will not be entitled to cancel and return that product under clause 12.1, except where the product is faulty, damaged, or not as described.

12.3 Subject to clauses 12.1 and 12.2, you may return unopened and unused Goods within 30 days of purchase for a refund. Opened or used Goods, other than those which are faulty, damaged or not as described, are not accepted for return.

12.4 If any Goods are faulty, damaged, or not as described, we will resolve this with the relevant third-party warehouse or, if the Goods were supplied directly through the Clinic, replace or refund them, in either case without affecting your statutory rights under the Consumer Rights Act 2015.

12.5 Any refund under this clause will be processed to your original payment method within 14 days of the cancellation or return being confirmed.

13. Website Content and Educational Resources

13.1 Our website may include blog posts, articles, guides, and other free educational or “DIY” resources (Website Content). Website Content is made available for general informational purposes only.

13.2 Website Content does not constitute medical, dermatological, or aesthetic advice specific to your circumstances, and does not create a clinician-patient relationship between you and us. You should not rely on Website Content as a substitute for a consultation or appointment with us, or with another appropriately qualified professional.

13.3 We take reasonable care to ensure Website Content is accurate at the time of publication, but we do not warrant that it is complete, up to date, or applicable to your individual circumstances, and we accept no Liability for any loss or damage arising from your reliance on it, except to the extent such Liability cannot be excluded under clause 16.1.

13.4 You may view and access Website Content for your own personal, non-commercial use, but must not otherwise reproduce, distribute, or republish it without our prior written consent.

14. Intellectual Property

14.1 As between the Parties:

(a) we own all Intellectual Property Rights in Our Materials;

(b) you own all Intellectual Property Rights in Your Materials; and

(c) nothing in these Terms constitutes a transfer or assignment of any Intellectual Property Rights in Our Materials or Your Materials.

14.2 As between the Parties, ownership of all Intellectual Property Rights in any New Materials will at all times vest, or remain vested, in us upon creation. To the extent that ownership of such Intellectual Property Rights in any New Materials does not automatically vest in us, you hereby assign all such Intellectual Property Rights to us and agree to do all other things necessary to assure our title in such rights.

14.3 This clause 14 will survive termination or expiry of these Terms.

15. Confidential Information

15.1 Subject to clause 15.2, each Party must (and must ensure that its Personnel) keep confidential, and not use (except to perform its obligations under these Terms) or permit any unauthorised use of, information provided by the other Party, including information about these Terms and the other Party’s business and operations.

15.2 Clause 15.1 does not apply where the disclosure is required by Law or the disclosure is to a professional adviser in order to obtain advice in relation to matters arising in connection with these Terms and provided that the disclosing Party ensures the adviser complies with the terms of clause 15.1.

15.3 This clause 15 will survive the termination of these Terms.

16. Liability

16.1 Nothing in these Terms limits any Liability which cannot legally be limited, including Liability for:

(a) death or personal injury caused by negligence; and

(b) fraud or fraudulent misrepresentation.

16.2 Subject to clause 16.1 (liability which cannot legally be limited), but despite anything else to the contrary in these Terms, to the maximum extent permitted by Law:

(a) if you are a ‘consumer’ as defined in the Consumer Rights Act 2015, and you use the Goods and/or Services for any commercial, business or re-sale purpose, we will have no Liability to you for any loss of profit, loss of business, loss of data, business interruption, or loss of business opportunity;

(b) a Party’s liability for any Liability under these Terms will be reduced proportionately to the extent the relevant Liability was caused or contributed to by the acts or omissions of the other Party (or any of its Personnel), including any failure by that other Party to mitigate its loss; and

(c) our aggregate liability for any Liability arising from or in connection with these Terms will be limited to 100% of the Price paid or payable by you under the relevant Order.

16.3 This clause 16 will survive the termination or expiry of these Terms.

17. Termination

17.1 These Terms will terminate immediately upon written notice by a Party (Non-Defaulting Party) if:

(a) the other Party (Defaulting Party) breaches a material term of these Terms and that breach has not been remedied within 10 Business Days of the Defaulting Party being notified of the breach by the Non-Defaulting Party; or

(b) the Defaulting Party goes bankrupt, insolvent or is otherwise unable to pay its debts as they fall due.

17.2 Upon expiry or termination of these Terms:

(a) any payments made by you to us for Goods and/or Services already provided are not refundable to you;

(b) you are to pay for all Goods and/or Services provided prior to termination, including Goods and/or Services which have been provided and have not yet been invoiced to you, and all other amounts due and payable under these Terms;

(c) by us pursuant to clause 17.1, you also agree to pay us our additional costs, reasonably incurred, and which arise directly from such termination (including recovery fees); and

(d) we may retain your documents and information (including copies) to the extent required by Law or pursuant to any information technology back-up procedure, provided that we handle your information in accordance with clause 15.

17.3 Unless otherwise agreed between the Parties, if these Terms are terminated:

(a) by us, then any current Order will also terminate on the date of termination and we will immediately cease providing the Goods and/or Services; or

(b) by you, then any outstanding Orders will continue in accordance with the terms of the Order (and these Terms) until such time as the Order is complete or the Order is otherwise terminated in accordance with its terms.

17.4 Termination of these Terms will not affect any rights or liabilities that a Party has accrued under it.

17.5 This clause 17 will survive the termination or expiry of these Terms.

18. General

18.1 Amendment: Subject to clause 2.3, these Terms may only be amended by written instrument executed by the Parties.

18.2 Assignment: Subject to clause 18.3, a Party must not assign, novate or deal with the whole or any part of its rights or obligations under these Terms without the prior written consent of the other Party (such consent is not to be unreasonably withheld).

18.3 Assignment of Debt: You agree that we may assign or transfer any debt owed by you to us, arising under or in connection with these Terms, to a debt collector, debt collection agency, or other third party.

18.4 Contracts (Rights of Third Parties) Act 1999: Despite any other provision of these Terms, nothing in these Terms confers or is intended to confer any right to enforce any of its terms on any person who is not a Party to it.

18.5 Disputes: A Party may not commence court proceedings relating to any dispute arising from, or in connection with, these Terms (Dispute) without first meeting a representative of the other Party within 10 Business Days of notifying that other Party of the Dispute. If the Parties cannot resolve the Dispute at that meeting, either Party may refer the Dispute to mediation administered by The Centre for Effective Dispute Resolution.

18.6 Force Majeure: Neither Party will be liable for any delay or failure to perform their respective obligations under these Terms if such delay or failure is caused or contributed to by a Force Majeure Event, provided that the Party seeking to rely on the benefit of this clause:

(a) as soon as reasonably practical, notifies the other Party in writing details of the Force Majeure Event, and the extent to which it is unable to perform its obligations; and

(b) uses reasonable endeavours to minimise the duration and adverse consequences of the Force Majeure Event.

Where the Force Majeure Event prevents a Party from performing a material obligation under these Terms for a period in excess of 60 days, then the other Party may by notice terminate these Terms, which will be effective immediately, unless otherwise stated in the notice. This clause will not apply to a Party’s obligation to pay any amount that is due and payable to the other Party under these Terms.

18.7 Governing Law: These Terms are governed by the laws of England and Wales and both parties submit to the exclusive jurisdiction of the courts operating in England and Wales.

18.8 Notices: Any notice given under these Terms must be in writing addressed to the addresses set out in these Terms, or the relevant address last notified by the recipient to the Parties in accordance with this clause. Any notice may be sent by standard post or email, and will be deemed to have been served on the expiry of 48 hours in the case of post, or at the time of transmission in the case of transmission by email.

18.9 Privacy: We will comply with all applicable data protection laws, and your personal data will be handled in accordance with our privacy policy (available on our website).

18.10 Publicity: Despite clause 15, you agree that we may advertise or publicise the broad nature of our supply of the Goods and/or Services to you, including on our website or in our promotional material.
